Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Torqy’s websites, software, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who may use the Services
The Services are intended for businesses and professionals in the automotive repair and related industries. You represent that you are at least eighteen (18) years old and have authority to bind the business or organization on whose behalf you register (“Customer”). If you use the Services on behalf of an entity, “you” includes that entity and you personally.
2. The Services
Torqy provides a cloud-based shop management platform, including tools that may use artificial intelligence or automation to assist with workflows such as intake, operations, communications, and reporting (the specific features may change over time).
We may offer early access, beta, or preview functionality. Such features may be incomplete or change without notice. We may also modify, suspend, or discontinue any part of the Services with reasonable notice where practicable.
3. Accounts and access
You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly at torqyai@gmail.com if you suspect unauthorized access.
4. License to use the Services
Subject to these Terms and your payment of applicable fees (if any), Torqy grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the subscription or access period for Customer’s internal business purposes.
You will not (and will not permit others to):
- Copy, modify, or create derivative works of the Services except as allowed by law;
- Reverse engineer, decompile, or attempt to extract source code or models except where prohibited by law;
- Use the Services to build a competing product or service or to benchmark or scrape in violation of our technical documentation;
- Remove or obscure proprietary notices;
- Interfere with or disrupt the integrity or performance of the Services or third-party systems.
5. Customer content and data
You retain ownership of data, files, and materials you submit to the Services (“Customer Content”). You grant Torqy a worldwide license to host, process, transmit, and display Customer Content only as needed to provide, secure, and improve the Services and as described in our Privacy Policy.
You represent that you have all rights necessary to submit Customer Content and that it does not violate law or third-party rights. You are responsible for backups of Customer Content where appropriate for your business.
6. AI-assisted features
Some features may generate suggestions, summaries, drafts, classifications, or other outputs using AI or machine learning (“Outputs”). Outputs are informational and assistive only. You remain solely responsible for reviewing Outputs before relying on them for vehicle repair, safety, compliance, billing, customer communications, or any business or legal decision.
Outputs may be incorrect, incomplete, or outdated. Torqy does not guarantee accuracy, completeness, or fitness for a particular purpose. You must comply with applicable laws, industry standards, and manufacturer guidance regardless of any Output.
7. Acceptable use
You agree not to misuse the Services. Without limitation, you will not use the Services to violate law; infringe intellectual property; transmit malware; harass or harm others; send unsolicited or unlawful messages; or process sensitive categories of personal data beyond what the Services are designed for without our prior written agreement.
8. Third-party services
The Services may integrate with or link to third-party tools (for example, messaging, payments, or shop systems). Those services are governed by their own terms and privacy policies. Torqy is not responsible for third-party products or services.
9. Fees and payment
If you purchase a paid plan, fees, billing cycles, and taxes will be as presented at purchase or in an order form. Unless stated otherwise, fees are non-refundable except where required by law. We may suspend access for overdue accounts after notice where permitted.
10. Torqy intellectual property
The Services, including software, branding, documentation, and aggregated analytics (excluding Customer Content), are owned by Torqy and its licensors. Except for the limited license in Section 4, no rights are granted to you.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORQY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT DEFECTS WILL BE CORRECTED.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER TORQY NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORQY’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TORQY FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100), IF YOU HAVE NOT HAD A PAYMENT OBLIGATION.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
13. Indemnity
You will defend, indemnify, and hold harmless Torqy from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from Customer Content, your use of the Services in violation of these Terms, or your violation of law or third-party rights, except to the extent caused by Torqy’s gross negligence or willful misconduct.
14. Suspension and termination
We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or if we are required to do so by law. You may stop using the Services at any time. Provisions that by their nature should survive (including Sections 5, 10–13, 14, and 16–18) will survive termination.
15. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will provide notice by email, in-product notice, or by posting an updated version with a new effective date. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Services.
16. General
These Terms constitute the entire agreement regarding the Services and supersede prior discussions. If any provision is unenforceable, the remainder stays in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. Torqy’s failure to enforce a provision is not a waiver.
17. Governing law and venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. You agree that the state and federal courts located in Delaware have exclusive jurisdiction for disputes arising out of these Terms or the Services, and you consent to personal jurisdiction there.
